Terms of Service

1. Overview
These Terms of Service ("Terms") govern the use of services provided by FDES Technologies Private Limited ("FDES", "we", "us"), a company registered in Hyderabad, Telangana, India. By engaging our services, you ("Client", "you") agree to be bound by these Terms.
FDES specializes in engineering design automation, including product configurators (CPQ), variant drawing automation, engineering calculation systems, and CAD customization & plug-in development.
2. Engagement & Scope of Work
All engagements are governed by a separate Statement of Work (SOW) or proposal document that defines the specific scope, deliverables, timelines, and pricing. These Terms apply in addition to any SOW unless explicitly overridden.
Changes to the agreed scope require written approval from both parties. Additional work outside the original scope will be estimated separately and require Client authorization before commencement.
3. Payment Terms
Payment terms are specified in the individual SOW or proposal. Standard terms include:
- Milestone-based payments as defined in the SOW
- Invoices are due within 30 days of issuance unless otherwise agreed
- Late payments may incur interest at 1.5% per month
FDES reserves the right to pause work if payments are overdue by more than 15 days.
4. Intellectual Property
Upon full payment, the Client receives ownership of all custom-developed deliverables as specified in the SOW, including source code, documentation, and configuration files.
FDES retains ownership of:
- Pre-existing frameworks, libraries, and methodologies developed prior to the engagement
- General knowledge, techniques, and skills acquired during the engagement
- Reusable components and tools, unless explicitly assigned in the SOW
The Client grants FDES the right to reference the engagement (without disclosing proprietary details) for marketing purposes, unless an NDA restricts such use.
5. Confidentiality
Both parties agree to maintain strict confidentiality of all proprietary information shared during the engagement, including but not limited to:
- Engineering drawings, CAD files, and design specifications
- Business processes, pricing models, and customer data
- Source code, algorithms, and proprietary logic
A separate Non-Disclosure Agreement (NDA) is available upon request and may be executed prior to sharing sensitive information.
6. Warranties & Deliverables
FDES warrants that all deliverables will:
- Conform to the specifications outlined in the SOW
- Be free from material defects for 90 days following delivery ("Warranty Period")
- Be developed using professional standards and best practices
During the Warranty Period, FDES will correct any defects in functionality at no additional charge, provided the issue stems from the delivered work and not from modifications made by the Client or third parties.
7. Limitation of Liability
To the maximum extent permitted by law, FDES's total liability for any claims arising from a project shall not exceed the total fees paid by the Client for that specific engagement.
FDES shall not be liable for indirect, incidental, consequential, or special damages, including loss of profits, data, or business opportunities, regardless of the cause of action.
8. Termination
Either party may terminate the engagement with 30 days' written notice. In the event of termination:
- The Client pays for all work completed up to the termination date
- FDES delivers all completed work products and documentation
- Both parties return or destroy confidential information as requested
9. Support & Maintenance
Post-delivery support and maintenance are available under separate agreements. Standard support includes:
- Bug fixes within the Warranty Period at no additional cost
- Extended support packages available on annual or per-incident basis
- CAD platform version upgrade compatibility assessments
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.
11. Changes to These Terms
FDES reserves the right to update these Terms at any time. Material changes will be communicated to active clients. Continued engagement after such changes constitutes acceptance of the updated Terms.
